I never thought of it before but now that she's pointed it out I can see the difference.  The bottom one has gag action since the mouthpiece moves on the curved "shanks" for better term whereas the top one is solid.

 Yep.  The bottom one has 2 different gag movements, so it gives a lot more play before engaging.  It's all in what kind of feel you prefer.  I also like shanked bits with no gag or a very small slide, like 1" or less.
